Terms of Service
By browsing the QIDIAN Store or placing an order, you agree to these Terms of Service. If you do not agree, do not use the store. These Terms, together with the Privacy Policy, Return Policy, and End User License Agreement, are the contract between you and us.
1. Who we are
The contracting party is QIDIAN TRADING INC., doing business as QIDIAN (“we,” “us”). We sell physical consumer electronics and smart-home hardware through the QIDIAN Store on Whop, and we ship from the nearest warehouse to the customer’s order address. 2. Eligibility
You must be able to form a binding contract (typically 18 or older). This store is not directed at children under 13. You represent that the order and contact information you give is true and complete.
3. The store
The store is hosted on Whop. Catalog, stock, prices, and pages may change. Images, specifications, and descriptions are for information. We try to be accurate, but we do not warrant that every page is error-free or always available. Money amounts are in USD.
4. Orders, prices, and payment
Submitting an order is an offer to buy. We may refuse or cancel an order for stock, an obvious pricing error, fraud risk, a shipping restriction, or another lawful reason. An order confirmation does not guarantee shipment until we actually ship.
Prices are in USD. Applicable tax is calculated by Whop at checkout; subtotals on the page may be before tax. We may correct an obvious pricing error before shipment. If we cancel for that reason, we refund the original payment method.
Payment is processed by Whop as our service provider. We do not store full card numbers or CVV. Placing an order authorizes the charge for the goods, any shipping, and tax.
5. Shipping
Goods ship as physical items from the nearest warehouse to the customer’s order address. Ground shipping in the United States is free. Checkout currently accepts addresses in the United States, Canada, the United Kingdom, Australia, and New Zealand. Delivery times are estimates. Except where the law says otherwise, risk of loss passes when we hand the package to the carrier. For shipments outside the United States, you are the importer of record and you pay duties and import charges.
6. Returns
Returns, exchanges, and refunds are governed by the Return Policy. In short: unused items in original packaging may be returned within 15 days of delivery. Email ruyuanh1120@aol.com for instructions before you ship anything back.
7. Software on the hardware
Hardware may include firmware or other software. Buying the hardware does not transfer intellectual property in that software. Use of the software is licensed under the End User License Agreement.
8. Acceptable use
You may not interfere with checkout or hosting, scrape the store at scale, submit false orders or payment details, infringe others’ rights, or use the store for an unlawful purpose. We may suspend obvious abuse.
9. Intellectual property
Store text, layout, product photography as arranged here, and the QIDIAN name are owned by us or our licensors. Do not reuse store content to run your own shop or ads without written permission. Third-party marks in product titles identify the hardware we sell.
10. Privacy
How we handle personal information is in the Privacy Policy, including the Notice at Collection. California opt-out: Do Not Sell or Share My Personal Information.
11. Disclaimers
Except where the law requires otherwise, and except for the Return Policy, the store and the goods are provided “as is.” We do not warrant that the website will be uninterrupted or error-free. A warranty that is not stated on a product page is not a promise under these Terms. Implied warranties that the law does not allow us to disclaim still apply.
12. Limitation of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential, or lost-profit damages. Our liability for a product is limited to the USD amount you paid us for that product. Some jurisdictions do not allow these limits; then this section applies only as far as permitted. This section does not limit liability for fraud or for personal injury that the law does not let us limit.
13. Indemnity
You will indemnify us against reasonable losses and costs arising from a third-party claim caused by your breach of these Terms, unlawful use of the store, or content you submit through the contact form.
14. Governing law
These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law rules. To the extent the law allows, courts in the State of New York have exclusive jurisdiction over disputes about these Terms or an order. If a mandatory consumer-protection law lets you sue in your home county, that right is not taken away.
15. Changes
We may update these Terms and the date at the top. Keep using the store after an update means you are on notice of the revised Terms. An order already placed follows the Terms in effect when you ordered.
16. General
If a provision is unenforceable, the rest still applies. These Terms and the policies they reference are the entire agreement. Our failure to enforce a right is not a waiver. If the Chinese text conflicts with the English, the English controls.
